1. Acceptance of terms

By accessing, registering or using Nauchat (the "Service") you agree to these terms of use. If you do not agree, do not use the Service. If you act on behalf of an organization, you represent that you have authority to bind it. The Service is operated by Systems Design Express ("Nauchat").

2. Description of the Service

Nauchat is a SaaS platform that connects messaging channels and social networks (WhatsApp, Instagram, Messenger, Telegram, web widget) to a unified inbox with automated responses powered by AI or a menu-based bot, plus team management, tickets and analytics features.

3. Account and registration

You must provide accurate information and keep it up to date. You are responsible for your credentials and for any activity carried out under your account. Notify us immediately if you detect unauthorized use.

4. Subscriptions, payments and refunds

The Service is offered via monthly plans. Bot plans include a 7-day free trial; AI plans bill from sign-up. Payments are processed through Stripe. Unless required by applicable law, payments are non-refundable; you may cancel renewal at any time and keep access until the end of the billed period.

5. Acceptable use

You may not use the Service to: send spam or unsolicited messages; engage in illegal, fraudulent or deceptive activities; violate third-party rights; circumvent technical limitations; or breach the usage policies of connected platforms (Meta, Telegram, etc.). We may suspend accounts that violate these rules.

6. Third-party platform connections

The Service depends on APIs operated by third parties. We do not control their availability, policy or pricing changes, and we are not responsible for outages caused by them. Compliance with each platform's policies is the customer's responsibility.

7. Service availability

We make reasonable efforts to keep the Service available and operational. However, we do not guarantee uninterrupted availability or a minimum service level (SLA), unless agreed in writing. Scheduled maintenance, unforeseen failures or third-party outages may occur.

8. Intellectual property

Nauchat retains all rights to the software, brand, designs and site content. The customer retains ownership of their content (messages, documents, knowledge base) and grants us a limited, non-exclusive, worldwide and royalty-free license to process it solely for the purpose of providing the Service.

9. Suggestions and feedback

Any suggestion, idea or feedback you send us about the Service may be used by Nauchat without restriction or compensation. We are not required to treat them as confidential.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without express or implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not guarantee that the Service meets all your requirements or that information generated by AI is accurate or appropriate for your case.

11. Limitation of liability

To the extent permitted by law, Nauchat is not liable for indirect, incidental, special, exemplary or consequential damages, nor for lost profits, lost revenue, data loss or business interruption. Our total liability is limited to the amount paid by the customer in the 12 months preceding the event giving rise to the claim.

12. Indemnification

The customer will indemnify and hold Nauchat harmless against claims, damages or costs (including reasonable legal fees) arising from: (a) use of the Service in breach of these terms; (b) violation of third-party rights; (c) content submitted or processed through the customer's account.

13. Force majeure

Neither party will be liable for breaches caused by reasons beyond their reasonable control, including natural disasters, armed conflict, pandemics, telecommunications outages, cyberattacks or governmental decisions.

14. Changes to the Service and terms

We may update the Service and these terms to reflect improvements, legal requirements or operational changes. We will notify material changes with reasonable advance notice. Continued use of the Service after they take effect constitutes acceptance.

15. Termination

Either party may terminate the relationship at any time. We may suspend or cancel your account immediately if you breach these terms. Upon termination, we retain data for up to 30 days to allow exports, then delete it unless required to retain it by law.

16. Entire agreement and severability

These terms, together with the Privacy Policy and the Data Processing document, constitute the entire agreement between the parties and supersede any prior agreement. If any provision is held invalid, the remaining provisions will remain in effect.

17. Governing law and disputes

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Disputes will be resolved in good faith and, failing agreement, before the competent state or federal courts located in the State of Florida, United States.
